Mutual NDA Template
This Mutual Non-Disclosure Agreement (the “Agreement”) is made as of [Date] (the “Effective Date”) by and between:
GrowVix Lab, of Islamabad, Pakistan (“GrowVix Lab”); and
[Partner Company Name], of [Address] (the “Partner”).
Each is a “Party” and together the “Parties.” Each Party may act as the disclosing party (“Disclosing Party”) and the receiving party (“Receiving Party”).
1. Purpose. The Parties wish to explore and carry out a white label arrangement under which GrowVix Lab provides digital marketing services that are delivered under the Partner’s brand (the “Purpose”). In connection with the Purpose, each Party may share Confidential Information with the other.
2. Confidential Information. “Confidential Information” means any non-public information disclosed by one Party to the other, in any form and whether or not marked confidential, including but not limited to: client and customer lists and details, account access and account data, campaign data and performance results, pricing and rates, business and marketing strategies, methods and processes, login credentials, and the existence and terms of the Parties’ relationship. It includes information shared before the Effective Date in anticipation of the Purpose.
3. Obligations of the Receiving Party. The Receiving Party shall: (a) use the Confidential Information only for the Purpose; (b) keep it in strict confidence and not disclose it to any third party without the Disclosing Party’s prior written consent; (c) limit access to employees or contractors who need it for the Purpose and who are bound by confidentiality obligations at least as protective as these; and (d) protect it with at least the same degree of care it uses for its own confidential information, and no less than a reasonable degree of care.
4. Non-Solicitation and Non-Circumvention. During the term of this Agreement and for 12 months after it ends, GrowVix Lab shall not directly or indirectly contact, solicit, or provide services to any client of the Partner that is introduced or made known to GrowVix Lab under the Purpose, except through the Partner, without the Partner’s prior written consent. Neither Party shall seek to circumvent the other in respect of clients or opportunities arising from the Purpose.
5. Confidentiality of the Relationship. Neither Party shall disclose to any third party, including the Partner’s clients, the existence of this Agreement or the fact that GrowVix Lab performs services on the Partner’s behalf, without the other Party’s prior written consent. Work delivered by GrowVix Lab under the Purpose may be presented by the Partner as the Partner’s own.
6. Exclusions. Confidential Information does not include information that: (a) is or becomes public through no fault of the Receiving Party; (b) was lawfully known to the Receiving Party before disclosure; (c) is lawfully received from a third party with no duty of confidentiality; or (d) is independently developed without use of the Confidential Information. Disclosure required by law or court order is permitted, provided the Receiving Party gives prompt notice where it is legally allowed to do so.
7. Ownership. All Confidential Information remains the property of the Disclosing Party. This Agreement grants no license or rights except as expressly stated here.
8. Return or Destruction. On written request or when this Agreement ends, the Receiving Party shall promptly return or destroy all Confidential Information and copies, and confirm this in writing if asked, except for copies kept by routine backup or as required by law, which remain subject to this Agreement.
9. No Warranty. All Confidential Information is provided “as is.” The Disclosing Party makes no warranty as to its accuracy or completeness.
10. No Further Obligation. This Agreement does not require either Party to enter into any further business relationship or transaction.
11. Term and Survival. This Agreement starts on the Effective Date and continues for 2 years, unless either Party ends it earlier with 30 days’ written notice. The confidentiality obligations survive for 3 years after this Agreement ends, and indefinitely for any information that is a trade secret.
12. Remedies. The Parties agree that a breach may cause irreparable harm for which money damages are not enough, and the non-breaching Party may seek injunctive relief in addition to any other remedy available in law or equity.
13. General. This Agreement is governed by the laws of Pakistan, without regard to conflict of laws rules. It is the entire agreement between the Parties on its subject and replaces any prior discussions. It may be changed only in writing signed by both Parties. If any part is held unenforceable, the rest stays in effect. A failure to enforce any part is not a waiver. Neither Party may assign this Agreement without the other’s written consent. It may be signed in counterparts, including electronically.
The Parties sign below and agree to be bound by this Agreement as of the Effective Date.
